Terms of Service

The ground rules for using our website and working with the studio. Plain language, no surprises.

These Terms of Service (“Terms”) govern your access to and use of the TQTech (“TQTech,” “we,” “us”) website at https://tqtechsoft.com and any services we provide. Project-specific work is also governed by a separate signed agreement, which controls if it conflicts with these Terms.

Acceptance

By accessing our website or engaging our services, you agree to these Terms. If you are accepting on behalf of a company, you represent that you have authority to bind that company. If you don't agree, please don't use the site or our services.

Services

We design and build web applications, websites, mobile apps and games, along with the AI and cloud infrastructure behind them. The specific scope, deliverables, timeline and fees for any engagement are defined in a written statement of work or proposal. We may update our website and offerings at any time.

IP & Ownership

Upon full payment, ownership of the custom deliverables we create for you under an engagement transfers to you, free of lock-in. We retain ownership of our pre-existing tools, frameworks, libraries and general know-how, and grant you a perpetual license to use them as embedded in your deliverables. The TQTech name, brand and website content remain our property. You retain all rights in the materials and data you provide to us.

Payment

Fees, schedules and milestones are set out in your statement of work. Unless stated otherwise, invoices are due within fifteen days of receipt. Late balances may pause active work and accrue reasonable interest. Fees are exclusive of taxes and third-party costs such as hosting, store fees and licenses, which are your responsibility.

Warranties

We perform our services in a professional, workmanlike manner consistent with industry standards. Except as expressly stated in a signed agreement, the website and services are provided “as is” without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose and non-infringement.

Limitation of Liability

To the fullest extent permitted by law, TQTech will not be liable for any indirect, incidental, special, consequential or punitive damages, or any loss of profits, revenue or data. Our total liability arising out of or relating to an engagement will not exceed the fees you paid us for that engagement in the three months preceding the claim.

Termination

Either party may terminate an engagement as set out in the relevant statement of work, typically with written notice. On termination you will pay for all work performed and approved expenses incurred up to the termination date, and we will hand over the deliverables you have paid for. Sections intended to survive — including ownership, payment, warranties and liability — remain in effect.

Governing Law

These Terms are governed by the laws of the State of California, without regard to its conflict-of-laws rules. Any dispute will be subject to the exclusive jurisdiction of the state and federal courts located in San Francisco, California.
